ServiceNow Denies Decagon Acquisition Report and Reaffirms Its Strategy

ServiceNow Denies Decagon Acquisition Report and Reaffirms Its Strategy

ServiceNow said it has no interest or intention to acquire Decagon, reversing a market narrative that pressured the stock. The denial shifts attention back to organic AI products and execution.

ServiceNow said it has no interest or intention to acquire customer-service AI startup Decagon, directly rejecting a report that had unsettled investors. The statement removed an immediate concern about acquisition price and integration risk, helping ServiceNow shares recover.

President Amit Zavery said the company's acquisition strategy is unchanged and that ServiceNow does not see a strategic gap requiring the transaction. The company has been building its own AI products, including AI Control Tower, Now Assist and Build Agent, while also integrating previously acquired assets.

A denial is useful information, but it is not an operating result. Investors still need to judge whether ServiceNow can convert AI interest into durable annual contract value without allowing product complexity or acquisition spending to erode margins. The company's second-quarter disclosure that ServiceNow AI crossed $1 billion in annual contract value gives the organic strategy a measurable base.

The episode also illustrates how acquisition rumors can distort valuation in fast-moving software markets. A large deal can add capability but introduce dilution, debt or integration risk. With Decagon off the table, the next relevant evidence is customer adoption, net new AI contract value and the performance of ServiceNow's current product suite.
