Liquidia Pays $380.7 Million to End Six Lawsuits and Protect Yutrepia

Liquidia settled all pending litigation with United Therapeutics, preserving Yutrepia for PAH while removing PH-ILD from the label. The legal clarity comes with $380.7 million of net payments.

Liquidia removed a major legal overhang by settling all six pending lawsuits with United Therapeutics. The agreement allows uninterrupted commercialization of Yutrepia for pulmonary arterial hypertension, or PAH, but Liquidia will pay about $380.7 million net through April 2027.

The first $175 million is due within 30 business days. The remaining installments create a financing obligation that investors must compare with Liquidia's cash and product sales. Preliminary results put cash and cash equivalents at $396.1 million on September 30 and third-quarter Yutrepia net product sales at $222.7 million.

The settlement also narrows the product's commercial scope. Liquidia will remove pulmonary hypertension associated with interstitial lung disease, known as PH-ILD, from Yutrepia's label. PAH access remains intact. That distinction matters because the company resolved litigation by preserving one market while giving up another approved indication.

The share-price surge reflected reduced uncertainty rather than free economics. Legal appeals, patent disputes and antitrust claims are ending, but the cash payments reduce financial flexibility. Analysts lifted or maintained bullish ratings after the deal, yet price targets do not fund the installments.

The preliminary sales figure suggests a meaningful commercial base, though it is unaudited and covers only one quarter. Investors should watch audited results, payment funding, gross-to-net deductions, operating expenses and PAH prescription growth. They should also avoid using pre-settlement downside models that rely on older cash balances or assume the litigation remains open.

The agreement gives management a clearer path to operate Yutrepia in PAH. It does not remove execution risk or the cost of the settlement. The next question is whether Yutrepia can generate enough cash to rebuild the balance sheet after the scheduled payments.
