Liquidia Pays $380.7 Million to Keep YUTREPIA Selling in PAH

Liquidia's global settlement ends six lawsuits and preserves uninterrupted YUTREPIA sales for pulmonary arterial hypertension. The company will pay $380.7 million, drop the PH-ILD indication and retain exposure to future patent disputes.

Liquidia will pay $380.7 million to end its litigation with United Therapeutics and preserve uninterrupted sales of YUTREPIA for pulmonary arterial hypertension. The agreement resolves six lawsuits, removes a near-term threat to the company's core product and converts years of legal uncertainty into a defined payment schedule.

The settlement does not preserve the entire commercial opportunity. Liquidia submitted a supplement to remove pulmonary hypertension associated with interstitial lung disease, or PH-ILD, from the YUTREPIA label and stopped promoting the drug for that use. The company also agreed not to appeal the September 30 ruling that found relevant patent claims valid and infringed.

The payment structure is material. Liquidia expects to make a $175 million net payment to United Therapeutics within 30 business days. It will then pay two installments of $72.7 million by January 31 and April 30, 2027. Another $60.3 million goes to parties with interests in litigation involving Treprostinil Injection. Together, the obligations equal the announced $380.7 million net cost.

Management said preliminary third-quarter YUTREPIA net product sales were $222.7 million and cash and equivalents were $396.1 million at September 30. Those figures explain why the company believes it can meet the schedule with cash and product revenue while continuing research. They do not guarantee that financing will be unnecessary, especially if sales slow or development costs rise.

The settlement also has boundaries. It does not cover non-PAH indications or new products containing treprostinil, so United Therapeutics may assert patents against future programs. Liquidia continues to develop L606 and other YUTREPIA uses, preserving pipeline upside but also legal and clinical risk.

For shareholders, the immediate benefit is continuity in the approved PAH market and the removal of six active cases. The cost is a substantial cash outflow and the loss of PH-ILD promotion. The November earnings call should clarify payment funding, expected PAH demand, the financial effect of the narrower label and whether pipeline priorities change.
