Fortitude Sold Borrowed Zcash to Finance a 9,000-Rig Expansion

Fortitude converted 5,790.4798 borrowed ZEC into about $8.3 million and used the proceeds for mining equipment, adding debt and execution risk to its expansion strategy.
Fortitude Mining sold 5,790.4798 ZEC borrowed from Digital Currency Group for about $8.3 million, converting a crypto-denominated credit line into cash for mining expansion. The transaction funded part of a purchase of 9,000 Bitmain Antminer Z15 Pro machines.
The structure separates financing from token exposure. Fortitude received ZEC under an amended credit facility, sold the coins and owes repayment in dollars under the disclosed terms. That means the company did not need to issue a new token or wait for mined ZEC to accumulate before ordering equipment. It also means shareholders or future owners should evaluate the dollar debt, equipment deployment and mining economics rather than assume the company remains economically long ZEC simply because it borrowed the token.
The expansion is material to Fortitude's strategy. The company has described itself as a vertically integrated digital-asset miner focused on Zcash and secured priority access to next-generation Bitmain equipment under a separate nonbinding purchase commitment of up to $100 million. It also announced an all-stock merger with Nasdaq-listed HeartSciences, which would bring the mining business to public markets if the transaction closes. A proposed transaction is not a completed listing, and the timetable and conditions remain relevant.
Mining returns depend on several variables that the $8.3 million proceeds do not settle: machine delivery, installation timing, electricity costs, network difficulty, equipment performance and the dollar price of ZEC produced. Selling the borrowed ZEC removed the immediate price risk on those coins, but it did not remove operating risk or the obligation to repay the facility.
The transaction is therefore best understood as asset-backed expansion financed with borrowed inventory. It may accelerate capacity if the 9,000 rigs are deployed efficiently, yet it also increases fixed commitments ahead of proven cash generation from the new fleet. Investors considering HeartSciences or the combined company need updated merger disclosures, debt terms and operating results before treating the equipment purchase as evidence of profitable scale.
