Autodesk shares gained about 10% during a difficult week for technology stocks as investors reassessed industrial-software valuations after Schneider Electric agreed to acquire PTC. The move has two foundations: a peer transaction at a large premium and Autodesk's own double-digit growth.
The PTC deal created a valuation reference
Schneider Electric agreed to pay $205 per PTC share in cash, valuing PTC's equity at approximately $22.6 billion. The price represented a 42.3% premium to PTC's previous close.
The transaction valued PTC at 21 times estimated 2027 adjusted EBITA before synergies and 13 times after the buyer's full run-rate synergy estimate. EBITA is earnings before interest, taxes and amortization, a profit measure that excludes financing and certain noncash charges.
Those multiples can lift sentiment toward Autodesk because both companies sell mission-critical design and industrial software. They are not interchangeable valuations. PTC's acquisition price includes control, expected cost savings and revenue synergies that a stand-alone Autodesk shareholder does not automatically receive.
Autodesk's operating performance provides independent support
Autodesk reported fiscal second-quarter 2027 revenue of $2.05 billion, up 16% year over year as reported and 14% in constant currency. The company narrowed full-year free-cash-flow guidance to $2.725 billion to $2.75 billion.
Management said stronger underlying expectations were partly offset by operating and financing costs related to the MaintainX acquisition, including about $45 million of transaction expenses. This is a useful counterweight to the rally: Autodesk's business is growing, but acquisitions and sales-model changes still affect cash-flow timing and execution risk.
Why a SaaS rebound is not yet proven
One strong week for Autodesk and Intuit does not establish a broad software cycle. Industrial design software has different customers and switching costs from consumer tax, accounting or horizontal cloud applications.
A durable sector recovery would require improving growth estimates, stable renewal rates and sustained free-cash-flow expansion across multiple companies. Investors should also separate acquisition speculation from operating progress.
What investors should watch
The next evidence includes Autodesk's fiscal third-quarter revenue, billings, operating margin and MaintainX integration. PTC's transaction process will show whether regulators and shareholders accept the announced terms.
BTI's conclusion is that Autodesk's rally has credible support from both company fundamentals and a strategic peer transaction, but PTC's takeover premium should not be treated as a guaranteed valuation floor for ADSK.
